Acceptance of Terms

These Terms of Use apply to your use of Flippr for individuals, along with any associated software applications and websites (all together, "Services"). These Terms form an agreement between you and Flippr, Inc.(Flippr), a Delaware company, and they include our Service Terms⁠ and important provisions for resolving disputes through arbitration. By using our Services, you agree to these Terms. If you disagree with any part of the Terms, you may not access or use the Services.

By accessing useFlippr.com ("Site"), the Flippr mobile applications ("App"), Flippr APIs, browser extensions, or any other products, services, or platforms provided by Flippr (collectively, the "Services"), you agree to be bound by these terms ("Terms").

Services Offered

Flippr provides tools and technology that use computer vision and related methods to help users identify and determine the estimated value of various objects, including but not limited to video games, books, collectibles, and other items.

Flippr provides information for reference purposes only. The accuracy, completeness, or reliability of pricing and valuation information is not guaranteed. You are solely responsible for how you use the information provided by the Services.

• You will only upload images that you have the legal right to use.
• You will not use the service for illegal, harmful, or malicious purposes.

User Conduct & Acceptable Use

Flippr reserves the right to require user accounts for image processing. We may track non-identifiable metadata for analytical purposes. All content you submit or upload to the Services is your sole responsibility and not that of Flippr. You agree to maintain and provide accurate information when using the Services. Flippr does not control or verify user-submitted content.

You will not use the Services for any purpose that is unlawful in your jurisdiction or otherwise prohibited by these Terms. Violations are grounds for suspension or termination of your account at Flippr's sole discretion.

When using the Services you will NOT:

• Submit false, misleading, or libelous content.
• Upload or distribute spam or unauthorized promotional material.
• Attempt to interfere with or disrupt the operation of the Services.
• Violate any applicable laws or regulations.
• Collect or attempt to collect personal information about other users without their consent.

Content Ownership

When you submit content to the Services, you retain full ownership of that content. You represent and warrant that your content does not violate the rights of any third party, including but not limited to copyrights, intellectual property rights, or privacy rights.

You grant Flippr a worldwide, non-exclusive, perpetual, irrevocable, and royalty-free license to store, display, and use your content solely in connection with providing and improving the Services.

Data & Acceptable Use

All pricing, valuation, and related data made available through the Services ("Data") is the sole property of Flippr. This includes current and historical valuations, trends, or other related information accessible via the Site, App, APIs, or downloadable content.

Data may be referenced externally provided that:

• Flippr is clearly cited as the source, and
• a visible hyperlink to Flippr is included when feasible

Data may be used internally by subscribers with a valid and current subscription. Internal use means by you and your authorized employees or contractors, within your organization, and not for public display or redistribution.

Data may not be incorporated into or used by third-party software, applications, or systems that are accessible to customers, clients, or the general public without express written permission from Flippr.

Fair Use & Pro Plan

Flippr offers subscription plans, including a Pro Plan that provides "unlimited scans." Unlimited scans are unlimited to the extent that usage is reasonable and not abusive.

Abuse includes, but is not limited to:

• Using automated systems, bots, or scripts to run scans.
• Running an excessive number of scans beyond what a typical human user would reasonably perform in a day.
• Using the Services in ways that degrade system performance or negatively impact other users.

Flippr reserves the right, at its sole discretion, to suspend or terminate Pro accounts that abuse the unlimited scans feature.

Payment

Some Services require payment. In order to use these Services you must provide Flippr with valid payment information. By submitting this information you represent and warrant that you are authorized to use the payment method. You agree that Flippr may charge your payment method on a recurring basis for subscription services.

Payments are processed through third-party providers such as Stripe, PayPal, Apple, or Google. By making payments through the Services, you agree to the respective payment processor's terms of service.

If a refund request is made for an in-app purchase, Flippr may provide Apple or Google with relevant information about the transaction (e.g., time since installation, usage, purchase details, refund history) as required.

Account Termination

Flippr may suspend or terminate your account or access to the Services at any time, without prior notice, for any reason, including breach of these Terms.

You may terminate your account at any time by discontinuing use of the Services or formally closing your account. Any provisions that should reasonably survive termination (such as ownership, disclaimers, and limitations of liability) will survive.

Modifications to Terms

Flippr reserves the right to update or modify these Terms at any time at its sole discretion. Material changes will be communicated by posting an updated version on the Site and/or App. Continued use of the Services after modifications constitutes your acceptance of the revised Terms.

Availability of Services

Your access to the Services may be interrupted due to maintenance, system failures, acts of God, or other reasons. Flippr reserves the right to suspend, modify, or discontinue the Services at any time without prior notice or liability.

Limitation of Liability

You expressly release and forever discharge Flippr, its directors, officers, employees, contractors, agents, representatives, successors, and assigns from any and all claims, liabilities, or damages arising directly or indirectly from your use of the Services. Flippr is provided on an "as-is" basis. We do not guarantee uninterrupted or error-free service.

In no event shall Flippr be liable under contract, tort, strict liability, negligence, or other legal theory with respect to the Services for (i) lost profits, indirect, punitive, or consequential damages; (ii) replacement of goods or services; or (iii) any direct damages.
